Linehouse Terms of Use

Effective date:

These Terms govern the Linehouse website, drawing application, and free beta program (together, the “Services”). They are an agreement between you and Dioko LLC, doing business as Linehouse Studios (“Linehouse,” “we,” “us,” or “our”).

By selecting “I agree” or otherwise expressly accepting these Terms, you agree to them. If you do not agree, do not participate in the beta or use the Services that require acceptance. If you accept for an organization, you must have authority to bind it, and “you” includes that organization.

1 Eligibility and accounts

You must have the legal capacity or authorization required to enter this agreement. If we previously terminated your access for a serious breach, you may not create another account or rejoin without our permission. Distribution platforms may impose additional age restrictions. Your use must comply with applicable laws, including applicable export controls and sanctions.

If an account is available or required, provide complete, accurate information, keep it current, and protect your credentials. Do not share credentials or allow unauthorized access. Contact us promptly if you suspect misuse. You are responsible for your own conduct and for access you knowingly authorize, subject to applicable law.

2 Permission to use Linehouse

For software downloaded directly from us, we grant you a limited, nonexclusive, nonsublicensable, nontransferable license to install and use the beta on devices you own or control for drawing, practice, and evaluation while your beta access remains active. You may use the website for its intended purposes. This permission is subject to these Terms.

We and our licensors retain ownership of the software, website design, documentation, branding, and supplied materials, including all related intellectual property rights. Rights not expressly granted are reserved. You may not remove ownership notices or use our branding to suggest sponsorship or endorsement without permission. The software is licensed, not sold. Separately licensed components remain subject to their own licenses, which control if they grant rights beyond these Terms. TestFlight downloads are also subject to Section 8.

3 The beta and your saved work

The beta is unfinished software. It may crash, lose or corrupt work, become unavailable, or change without preserving compatibility with earlier versions. Features, performance, and supported devices vary by platform and release. Roadmaps and proposed features are not commitments to deliver them or guarantees of artistic improvement.

Save your work regularly. Do not rely on the beta as the only copy of important work. Local saving is not a promise of automatic saving, cloud backup, cross-device synchronization, export, or data recovery. Keep independent copies of original reference files and other material you cannot afford to lose. Uninstalling, clearing app storage, upgrading, or losing access may make saved work unavailable.

We may release updates, require an updated build for continued access, or change or end the beta. We will give reasonable notice where practicable, but security issues, platform restrictions, and technical failures may require immediate action. We do not promise ongoing support, a particular release date, or continued access to a specific build.

4 Your artwork and reference images

You retain any ownership rights you have in your drawings, imported images, and other original content. Using Linehouse does not transfer those rights to us. You must have the rights, permission, or other lawful basis needed to import and use material, including photographs of other people.

If you send us artwork, reference images, screenshots, or files for feedback or support, you grant us a nonexclusive permission to receive, store, reproduce, and share that material with providers assisting us, solely as needed to handle your submission, diagnose problems, and improve the affected functionality. This permission lasts only as long as reasonably necessary for those purposes and any lawful retention described in our Privacy Policy.

That permission does not authorize public marketing use of your artwork or use of it to train AI models. Those uses require separate permission. Simply creating or storing work locally does not grant us a license to publish it.

Included reference materials remain the property of their respective owners. Follow any license and attribution notices supplied with them. Access through Linehouse does not transfer copyright or automatically permit redistribution of the source images or commercial use of copies or derivative works.

5 Feedback and public discussion

We welcome suggestions, bug reports, and ideas about Linehouse. You grant us a worldwide, nonexclusive, royalty-free, perpetual license to use and incorporate those suggestions into our products without an obligation to pay you or provide credit. You retain ownership of your feedback. This license does not expand our rights to personal information, artwork, reference images, or other attachments, which are governed by Section 4 and our Privacy Policy.

Participation is voluntary. You may stop testing at any time, and completing requested practice sessions is not a purchase obligation. Do not send confidential information belonging to someone else.

We authorize discussion of the publicly released beta and sharing screenshots or recordings of your own use, including where our authorization is needed under TestFlight’s confidentiality terms. This does not authorize disclosure of another person’s information, separately confidential material, or content you have no right to share.

6 Acceptable use

Do not use the Services to infringe others’ rights, violate the law, distribute malicious software, impersonate others, harass our staff or testers, disrupt systems, or access accounts or information without authorization. Do not bypass access controls, collect other users’ information without authorization, or sell, rent, sublicense, or redistribute our software without permission.

Do not reverse engineer, decompile, or modify our proprietary software except where applicable law or a separate license permits it. This restriction does not override legally protected interoperability or security-research rights. Report suspected vulnerabilities privately through our contact details below.

7 Free beta and future charges

Linehouse does not charge for access to this beta. You remain responsible for your devices, internet access, and other third-party costs. Free beta participation does not promise a free commercial release or lifetime access.

We will disclose pricing and applicable purchase terms before offering paid access. We will not automatically enroll you in a paid subscription or charge you merely because you joined the beta. Any paid service requires a separate purchase authorization.

8 Apple and other third parties

If you obtain the beta through TestFlight, Apple’s TestFlight Terms of Service also apply, including its licensing, testing, and data-handling provisions. Apple limits TestFlight use to beta testing and cautions against using beta apps in commercial operating environments or with important data. These Terms supplement those provisions and do not expand the license Apple’s terms permit. If there is a conflict concerning TestFlight distribution or use, Apple’s applicable terms control.

Other third-party services, links, and separately licensed materials may have their own terms. We do not control independent third-party services, and linking to one does not endorse it or make us its agent. Their terms and privacy practices govern your dealings with them. Nothing in this section removes responsibilities or remedies imposed on us by applicable law.

9 Privacy and electronic communications

Our Privacy Policy explains how we handle personal information. These Terms do not substitute for a privacy notice or any consent required for data collection or processing. Ending beta participation does not automatically delete information already submitted; follow the request process in the Privacy Policy. These Terms do not authorize monitoring of locally stored drawings or other data collection beyond what is lawfully disclosed and permitted.

We may deliver account, security, beta, and legal notices electronically through the app, website, or email you provide. Keep your contact details current and retain copies of important notices. Acceptance of these Terms does not itself authorize promotional texts, automated calls, or unrelated marketing.

10 Ending access

You may end this agreement by stopping use and uninstalling the beta. We may suspend or terminate access for a material breach, a security or legal concern, or discontinuation of the beta. Where reasonably practicable, we will explain the reason and provide an opportunity to address a remediable breach. Immediate action may be necessary to prevent harm or comply with law.

When your license ends, stop using and remove the affected software. You continue to own your content, but we cannot guarantee that an expired or discontinued beta will remain available to open it. Provisions concerning ownership, already-granted feedback rights, lawful retention, indemnity, liability, and the arbitration agreement survive as needed to give them effect.

11 Warranties and limits of liability

To the extent permitted by law, the beta and related Services are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to that extent. We do not warrant uninterrupted or error-free operation, preservation of data, or compatibility with every device.

To the extent permitted by law, neither Linehouse nor its personnel or licensors will be liable for indirect, incidental, special, consequential, or punitive damages arising from the Services, including resulting lost profits or business interruption, even if advised that such losses were possible. Subject to the exceptions below, their combined total liability for claims arising from the free beta or these Terms is limited to US$100, regardless of the legal theory asserted. This cap does not reduce our obligation to pay arbitration fees under Section 14 or override remedies that cannot legally be limited.

These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that applicable law does not allow us to exclude or limit. Nothing in these Terms waives mandatory consumer guarantees or other nonwaivable rights. Where a limitation is prohibited, the applicable legal rule governs.

12 Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Linehouse and its affiliates, officers, directors, employees, and agents (the “Protected Parties”) against third-party claims and resulting judgments, approved settlements, damages, and reasonable legal fees and defense expenses to the extent arising from: (a) your material breach of these Terms; (b) your unlawful or unauthorized use of the Services; (c) your negligence or willful misconduct; (d) infringement of another person’s intellectual property, privacy, publicity, or other rights by content you submit, including our use within the permission you granted; or (e) misuse by someone you knowingly authorize to use your account.

This obligation does not cover losses attributable to a Protected Party’s negligence, misconduct, breach of these Terms, or violation of law. It does not make you responsible for unauthorized account use that you did not cause or authorize, and ordinary good-faith beta testing does not itself trigger indemnity.

We will promptly notify you of a covered claim and provide reasonable cooperation. Delayed notice relieves your obligation only to the extent it materially prejudices the defense. You must use reasonably qualified counsel acceptable to us. We may participate with our own counsel at our expense, or assume control where reasonably necessary because of a conflict or your failure to defend; only reasonable, nonduplicative costs of a covered defense may be charged to you.

You may not settle a claim against a Protected Party without our written consent, which will not be unreasonably withheld. We may not bind you to a settlement requiring payment, an admission, or other obligations without your written consent, which will not be unreasonably withheld. This clause concerns third-party claims, not an automatic right to recover fees when you bring your own claim against Linehouse. Nonwaivable consumer protections remain in effect.

13 Copyright complaints

Report suspected infringement involving material we host or distribute using the contact details in Section 16. Identify the protected work, the disputed material and its location, your contact details, and your authority to act. Include your signature, a good-faith statement that the use is unauthorized by the owner, its agent, or law, and a statement of accuracy and authority under penalty of perjury. We may request clarification, restrict access to material we control, and act against repeat infringement where appropriate, subject to applicable notice and response rights. This procedure does not give us access to private files on your device.

14 Dispute resolution and arbitration

14.1 Scope and mutual agreement. This section applies to users residing in the United States and organizations principally based there. Except as provided below, you and Linehouse agree to resolve disputes arising after acceptance of this section through binding arbitration before one neutral arbitrator. Covered disputes concern these Terms, the Services, submitted content, privacy, communications, or the beta relationship, whether based on contract, statute, tort, or another legal theory. Claims involving a Protected Party acting for Linehouse are included, and that party may enforce this section subject to the same obligations. This agreement survives termination.

For covered disputes, both sides give up determination by a judge or jury. Arbitration permits a binding award, typically with more limited discovery and judicial review than litigation. This section does not require non-US users to arbitrate or remove protections mandatory in their country of residence.

14.2 Informal resolution. Before starting arbitration, send a written notice describing the claim and requested relief, with your name and reply contact, to the email or mailing address in Section 16. We will send our notice to your available contact address. Both sides will try in good faith to resolve the dispute for 30 days after receipt. Either may request a reasonably scheduled telephone or video discussion. Neither side may prevent filing by refusing to participate. Applicable limitation periods are paused during this period to the extent legally permitted. A party may file sooner to preserve a deadline or seek urgent relief, and this process is not required for small-claims cases or regulatory complaints.

14.3 Selection of arbitrator and procedures. No arbitrator or arbitration organization is designated in advance. After the informal resolution period, either party may request arbitration by sending the other party a written demand identifying the parties, the factual basis of the dispute, and the relief sought. Notices to Linehouse must be sent to the contact details in Section 16.

The parties will attempt in good faith to agree on one independent, impartial arbitrator and, if appropriate, an arbitration organization to administer the proceeding. Neither party may unilaterally select the arbitrator or administering organization. If the parties do not agree on an arbitrator or an appointment procedure within 30 days after receipt of the arbitration demand, either party may ask a court of competent jurisdiction to appoint an arbitrator under Section 5 of the Federal Arbitration Act or other applicable law.

If the parties agree to use an administering organization, its applicable rules will govern, subject to this agreement and mandatory law. Otherwise, the arbitrator will establish fair procedures after giving both parties an opportunity to be heard. Those procedures must provide reasonable notice, a meaningful opportunity to present claims and defenses, and reasonable access to relevant information. Any applicable consumer protections must be preserved.

The Federal Arbitration Act governs this agreement to the extent applicable; otherwise, applicable arbitration law governs. A court decides whether this arbitration agreement was formed and whether the class-action waiver is enforceable. The arbitrator decides other questions of scope and arbitrability unless applicable law requires a court to do so.

14.4 Hearing and decision. Hearings may take place remotely or, if an in-person hearing is needed, in the US county where the consumer resides unless the parties agree otherwise. For an organization, the location must be reasonably convenient. Written submissions may be used by agreement or under the applicable procedures without denying a legally required hearing.

The arbitrator will apply applicable law and issue a reasoned written award, including any individual relief a court could lawfully award. An authorized court may enter judgment on the award. Statutory review rights remain available.

14.5 Fees and access. For consumer cases, any required filing payment by the consumer will not exceed the filing fee for an appropriate local court or, if lower, the applicable consumer filing fee charged by an agreed administering organization. Linehouse will pay the remaining required administrative and arbitrator charges, including amounts necessary to prevent arbitration costs from blocking access. Available hardship waivers remain available.

For nonconsumer cases, administrative and arbitrator fees will be allocated under the parties’ agreed rules or, absent agreement, as determined by the arbitrator consistent with applicable law. Each party bears its own legal fees unless a statute or other enforceable basis authorizes an award. The indemnity clause does not override these protections. Failure by Linehouse to pay required fees does not restrict remedies available to the user under applicable law.

14.6 Individual proceedings and exceptions. To the extent lawful, arbitration will address each party’s own claims only. Neither side may pursue a class, collective, consolidated, or representative arbitration, and the arbitrator may not combine different users’ claims without all affected parties’ written agreement. This does not restrict lawful administrative coordination of separately filed cases or voluntary group settlements.

Either party may use a competent small-claims court for a qualifying individual claim. Either may report concerns to government agencies or seek temporary court relief needed to preserve rights pending arbitration. Claims that the law excludes from predispute arbitration remain in court.

Nothing waives a nonwaivable right to public injunctive relief. Where that relief cannot lawfully be arbitrated, it may be sought in court. A court determines any lawful stay or sequencing; this agreement does not require a delay that would defeat a protected remedy.

14.7 Availability and severability. If a selected arbitrator becomes unavailable or cannot lawfully hear the dispute, a replacement will be selected using the process in Section 14.3. The unavailability of an administering organization does not by itself terminate this arbitration agreement; the parties may agree on a replacement organization or proceed before an arbitrator selected under Section 14.3.

If no lawful, accessible arbitration forum can be established through those procedures, the claim may proceed in court. If a class or representative waiver cannot be enforced for a particular claim or remedy, that portion proceeds in court rather than class arbitration. Other arbitrable claims remain subject to this agreement to the extent lawful. The court provision in Section 15 applies, subject to the exceptions above.

14.8 Your 30-day opt-out. You may reject this entire arbitration agreement, including its class and jury waivers, by emailing or mailing a notice to the contact details in Section 16 within 30 days after first accepting it. Email must be sent, or mail postmarked, within that period. Include your name, the email associated with your beta participation, if any, a reply address, and a clear statement that you opt out of arbitration. No explanation or special form is required.

Opting out will not affect access to the beta or the remaining Terms. Neither side will then be bound by this arbitration agreement.

14.9 Future changes. Material amendments to this arbitration agreement require advance notice and your express acceptance and apply only prospectively. You may opt out of an amended agreement within 30 days after accepting it using Section 14.8. A timely opt-out releases both sides from arbitration under these Terms, including an earlier version. A previous opt-out remains effective unless you later expressly agree otherwise.

Changes do not govern disputes already arising or filed before the amendment takes effect. This paragraph controls over inconsistent general update language.

15 Changes governing law and general provisions

We may update these Terms prospectively. We will post the revised text and effective date and ordinarily provide at least 30 days’ notice of material changes through the Services or your email address. Changes needed urgently for security or legal compliance may take effect sooner, with notice as soon as reasonably practicable. We will obtain renewed acceptance where required. Changes do not retroactively govern an existing dispute. If you do not agree to revised Terms, stop using the affected Services.

The laws of California, excluding its conflict-of-law rules, govern these Terms except where Section 14 or mandatory law requires otherwise. For disputes outside arbitration, the parties submit to courts in Los Angeles County California, subject to small-claims rights and consumers’ nonwaivable rights to use other courts and laws available to them. This provision does not limit a competent court’s authority to assist arbitration or enforce an award.

Except for the specific rules in Section 14.7, if a provision is unenforceable, it will be limited or severed only as permitted by law, and the remainder will continue in effect. Failure to enforce a provision is not a waiver. These Terms and any applicable separate license or expressly agreed written terms govern their subject matter; they do not exclude rights or representations that law prohibits excluding.

You may not transfer this agreement without our written consent. We may transfer it to a successor to the relevant business, provided your protections are preserved. Neither party becomes the other’s employee, agent, or partner.

Performance may be excused during events beyond reasonable control, such as natural disasters or widespread network outages, to the extent legally permitted. This does not excuse duties that law requires us to fulfill.

Electronic acceptance may establish this agreement where legally valid. Oral statements do not amend it; an amendment must follow this section and Section 14.9 where applicable, or be expressly agreed in writing by authorized representatives. Mandatory consumer protections continue to apply.
